Off Grid Africa

This reseller agreement is made and entered into by and between "OGA" (Off Grid Africa Pty Ltd), and

Appointment as a reseller.

OGA (Off Grid Africa Pty Ltd.) hereby appoints Reseller as a non-exclusive reseller of the products listed in Exhibit A (the "Products") in accordance with the terms and conditions of this Agreement.

2.) Discounted Pricing.

Reseller may purchase Products from OGA at the discounted prices listed in Exhibit B (the "Reseller Prices" to follow in correspondence after this application.) Reseller agrees to keep the Reseller Prices confidential and not disclose them to any third party.

3.) Marketing and Orders.

Reseller will market and solicit orders for the Products. All marketing materials must be approved in writing by OGA prior to use. Reseller shall not make any misleading or fraudulent statements about the Products. Orders from customers shall be directed to OGA, which will be fulfilled by OGA. Orders fulfilled will adhere to Off OGA's Terms and Conditions of Sale found within the follow-up correspondence to this agreement from Off Grid Africa Pty Ltd. OGA will be seen as a 3rd party and will not be held liable for any claims that may arise due to any nature between Reseller and Purchaser. You may use graphic and text links both on your website and within your email messages that are approved by OGA. You may also advertise the OGA Products and/or Services in classified ads, magazines, and newspapers. You may use the graphics and text provided by OGA, or you may advertise on your own as long as media, graphics, and text advertisements are deemed appropriate according to the conditions and are not in violation of any advertising law of the land or rule as set out by the commission-PPC (Pay-per-Click).  Bidding is NOT allowed without prior written permission.

4.) Unauthorised Actions.

Reseller shall not open, modify, adjust or attempt to repair any Products. If a Product needs service, Reseller shall contact OGA for assistance. Reseller shall not release inappropriate advertisements (false claims, misleading hyperlinks, etc.). Spamming (mass email, mass newsgroup posting, etc.) Reseller will not engage in advertising on sites containing or promoting illegal activities. Failure to disclose the reseller relationship or misrepresentation of OGA will result in the immediate cancellation of all agreements with OGA and OGA will not be held responsible for any judgements or fines as a result of legal prosecution against Reseller.

5.) Compliance.

Reseller shall comply with all applicable laws and regulations in marketing and reselling of the OGA Services combined with OGA Products.

6.) Intellectual Property.

Reseller acknowledges OGA's proprietary rights in and to the Products and Services, including patents, copyrights, trademarks and trade secrets. Reseller shall not take any action inconsistent with such rights.

7.) Term and Termination.

The term of this Agreement shall be detailed in the follow-up correspondence,  should OGA approve Reseller's application, and continue until terminated by either party. OGA may terminate this Agreement immediately, if Reseller breaches any provision herein, at OGA's sole discretion.

8.) Limitation of Liability.

In no event shall OGA aggregate liability arising out of or related to this Agreement. Reseller shall indemnify and hold harmless OGA and subsidiary companies, officers, directors, employees, licensees, successors and assigns, including those licensed or authorised by OGA to transport and distribute materials, from any liabilities, damages, fines, judgments, claims, costs, losses, and expenses (including reasonable legal fees and costs) arising out of or related to any and all claims sustained in connection with this Agreement due to the negligence, misrepresentation, failure to disclose, or intentional misconduct of Reseller.

9.) Additional Terms.

This Agreement shall be governed by and construed in accordance with the laws set out in South Africa. This Agreement contains the entire agreement between the parties. Any modifications will be supplied to Reseller's e-mail listed herein, attached to the main Agreement, and will be binding to the original Agreement. This Agreement shall be governed by and construed in accordance with the laws set out in South Africa.

The below-listed Name, Surname, and check box serves as legal acknowledge and agree to all the terms within this contract, and he/she is a managing member/director/owner of the Reseller business listed herein.
